TERMS AND CONDITIONS FOR USE OF I MATTER RELATIONSHIP HEALTH SERVICES
Master Services Agreement

The Following Terms of Business Use (‘Terms’) are entered into by  ‘You’ (the individual or organisation user of our services)  and with the partnership of  I Matter Training Ltd (‘Companies’, ‘we’ or ‘us’)  and Relationship Health Matters CIC

These Terms together with any documents that they expressly incorporate by reference (collectively, these Terms of Use) govern your access to and use of services provided by Us including any content, functionality and services offered on or through www.imattertraining.com  (the website) whether as a guest or a registered user.   They also are the foundation of our Master Services Agreement.    No paid services shall be provided by virtue of this agreement alone.  Any paid services will require an additional service description and an invoice.

  1. Business Arrangements and Overview - Implicit agreement

1.1   The delivery of I Matter Relationship Health Services is provided by a partnership between  I Matter Training Ltd and Relationship Health Matters CIC.   The services are offered to professionals and non professionals with a variety of roles and starting points based on contracts with organisations and linked individuals . The phases of engagement in our services include: i) Expression of Interest,  ii) Contracting  iii) Progressing core training    iv) Extended Engagement   

1.2  The core services we provide i) registration and recommendations, ii) core education in the I Matter Framework and iii) skills training and personalised coaching.   All services are delivered through a combination of online tools, 1:1 consultations and group learning with varied levels of support intensity.  

1.3  By default all services are offered under a psycho-educational and coaching function unless clearly otherwise specified. 

1.4  Our services are intended to help you to help yourself and to help children and other adults.  To ensure that everyone has a positive learning experience our Terms and Conditions set out the rules and expectations so that everyone knows what to expect.

1.5 We consider it a digital acceptance of our Terms and Conditions when you or your ‘linked parties’ access or in any way use I Matter Training services or our website. You are implicitly agreeing to these terms as they appear written here at any time - even if you don’t read them. So please do take a look.  Failure to respect our terms and conditions will lead to loss of your access to our services so they are important.   If you do not wish to be bound by our Terms and Conditions do not use this site or our services.

1.5 We may also change these terms at any time.  However if we make major changes we'll let you know by email.  By continuing to use this site you will have implicitly agreed to the changes, which will supercede earlier versions, so remember to check back in from time to time.

1.6 If you using this site as a business or as a direct customer, you will also be bound by these terms.   You are responsible for adherence to them, so please ensure you have read and understood them

1.7 I Matter Training delivers free and purchased online content, provided, in association with other third parties and supported by consultation and coaching services.   We use a range of online tools to deliver services:  ii) this online general training tool in Simplero.and ii) a registration and outcome monitoring tool in Pragmatic Tracker.  In partnership with licensees we may use an additional client record system

1.8 Acceptance of our terms implies acceptance of our suppliers full terms.  You can read Simplero Terms and Conditions here.  You can see the Simplero Privacy Policy here   You can see the Simplero Disclaimer here .   You can read about Pragmatic Tracker here.   Pragmatic Tracker or Client Records are used for information deemed of a more personally sensitive nature.

1.9.In addition to the above we use other online tools including google apps, and dropbox.  We use zoom.us for online meetings.  We may use www.imattercoaching.online for some group programmes and, LinkedIn and facebook.com/imattertraining and whats app for social media.. We also use www.kashflow.com for accounts and stripe.com and paypal for some payment services., Some of these third parties are hosted outside the European Union. The project also provides workshops and consultations.   

1.10 When you choose to take part in our educational services your consent will extend to the use of all of these platforms to process your data as is needed. For more information please click here for our consent processes   You can see the full list here.

1.11 When you register to use our services, we offer you one non-transferable and non-exclusive license.  There should be only one user per log on on any of the services we offer.

1.12  We reserve the right to terminate this agreement should there be a material breach of the expectations set out here.

2. The nature of I Matter Relationship Health Services


2.1 The I Matter Learning Journey offers an online supported and coach led learning journey process.  We work with organisations and teams, and with individual professionals and non-professionals in parallel.  I Matter Training is not a therapy or a treatment or a substitute for other medical or professional services.

2.2 The I Matter Framework was drawn together as an integration of well-established evidence by Dr Cathy Betoin, an experienced clinical psychologist and teacher and is intended to help you to help your child in home work or community setting.  

2.3 Professionals and non-professionals take part in I Matter training for a variety of reasons and with a variety of starting points.  These include Strengthening Relationship Health, Building Foundations for Recovery of Relationship Health, Preparation for Relationship Health and General Education and CPD in Relationnship Health We endeavour to assist you in assuring that there is a fit between these services and your needs at the outset of any agreement to work together.

2.4 There are three parts to every I Matter Learning Journey.  These involve i) establishing your starting points ii) learning the ideas and iii) putting the ideas into practice over time

2.5 Dr Cathy Betoin, is an experienced clinical psychologist registered in the UK and regulated by the Health Professions Council. She has over 25 years of experience in public and private sector practice and adheres to the professional codes of practice provided by the Health Professions Council, the British Psychological Society and by the Division of Clinical Psychology. In her professional practice her work is informed by an Adult Child Well-Being 'I Matter' approach. She is actively involved in training others.  Cathy Betoin carries full professional insurance. She provides all I Matter Course and related psychological consultations through I Matter Training Ltd.

2.6 The I Matter free and paid course materials were developed strictly for informational purposes and should not be considered medical, behavioral, legal, or therapeutic advice. Testimonials herein are unpaid and unsolicited and non-representative of all participants. Experiences of those who have provided testimonials do not guarantee future results. None of the testimonials included within the I Matter Materials are from current individual clients. 

2.7 The delivery of I Matter Training online is a new project and is still in a trial period. As such some of our policies and procedures and resources are still being developed and refined. As an approach it is therefore a new approach and neither accepted nor rejected by any professional body to which Cathy is associated.  If you do not wish to have records kept online and/or do not wish to take part during a trial period, then do not purchase our programme or use our services.  

2.9 Production standards:  Because this product has involved finding a way forward in a complex field, please be aware that to date this project has been developed and produced with minimal financial support and without any production team. Therefore the quality of the production is sometimes not of a standard that you may have anticipated or prefer.  If this is likely to bother you, we advise you do not use our services- or that you send a donation to support a revised version


3. Disclaimer about Scope of Course Content

3.1 The online training site is for informational purposes only.  We warrant to you that the I Matter Online Courses and Course materials and Consultations purchased from us are of satisfactory quality and reasonably fit to deliver the stated learning outcomes for which the course, resource or consultation is supplied. ​ Due to the nature of training and coaching, and the fact that your success is dependent on a number of factors over which we have no control, we aim to help you meet stated learning outcomes or contract objectives but Cathy Betoin, nor I Matter Training Ltd or Relationship Health Matters CIC do not guarantee any particular result. We may advise some general courses of action, but we are not party to all of the details in your situation so you remain responsible at all times for the decisions you choose to take regarding the welfare of yourself or your child.  

3.2 The content of I Matter Training can sometimes be experienced as being of a challenging nature and so users should always think carefully about whether they have the support in place to benefit from this training at the present time.  No one should be required to complete this training. 

3.3 Cathy will endeavour to ensure that all information or guidance that she provides is accurate and up-to-date and reserves the right to change and update content at any time but she or I Matter Training Ltd shall not be liable for any claims arising from such information being disputed, inaccurate or not up-to-date or otherwise, nor for any perceived 'lack of progress in adult or child.

3.4 Suitability of the Approach:  We are not an emergency support service and should you or other users need crisis support you are directed to crisis support services such as Young Minds Helpline.

3.5 For parents-carers, I Matter Training should be used only as a complement to other appropriate local services. Parents or professionals or young people should ensure that they have in place the recommended additional study support and supportive relationships.   In the early stages of  training participants usually complete a questionnaire to support thinking about what level of support is needed to help see best results with a specific child or issue.   I Matter Training never offers any quick fixes.  To see positive results in a family, work or community setting you will generally need to commit to a longer term learning approach.

3.6 Professional practice:  We do not provide core professional training.  I Matter offers CPD continuing professional development training in a licensed approach or to those with core training in a variety of disciplines in education, health and social care. 

3.7 Structure of Training:  I Matter Training is structured to provide a stepped approach for individuals (6 levels:  1-3 for professionals and non-professionas and 4-6 for professionals only)  and organisations (4 levels).  In the early stages of training you agree not to misrepresent the status of your training stage.  In the early stages you can describe yourself as I Matter Aware or I Matter Informed.  Professionals first become I Matter informed and then can train to become a licensed Link or Lead part of our delivery team.

3.8  Any professional using the approach or our resources should be guided by their own professional standards first and should never disregard their own agreed policies or practices for example around safeguarding due to something learned here. You can read our own safeguarding policy here

3.9 Licensed Link or Lead Professionals:   If you become approved to work with us as a trainee or approved link or lead professional you agree to ensure that you have the appropriate insurances in place and agree to work in a manner that is lawful and in accordance with professional guidelines.

3.10  I Matter Training Ltd and Relationship Health Matters CIC provide some additional services that complement our educational services but these are offered by an additional explicit contract.  Clients receiving additional services will have a client record in Pragmatic Tracker or in the clinical records of a licensed partner practitioner and host organisation.  

4. User Licence Agreements and Role Based Access

4.1 We offer the training platform as a service, and this is the license under which you use our platform or the licenses we offer. We own intellectual property on the content and on the I Matter Training site and all the rights to it, and we reserve the right to revoke any access license if we have reason to believe you, or those you are supporting with access, are not adhering to our Terms, or to take further actions if required. .

4.2 For the avoidance of doubt, all content obtained through us is our property, and you are granted a revocable, non-transferable license, limited to you only unless by specific additional agreement.

4.3 When you enrol in I Matter Training, you expressly agree that you, or those you support, will not steal, share without our agreement, or otherwise misuse or misrepresent our content 

4.5 No person under 18years may access I Matter Training via this site, without the express consent of their parent or guardian

4.6 The resources and activities that you will take part in or observe online have been carefully designed to be part of our I Matter learning journey experience. 

4.7 When accessing this site under a given email you will access a training pathway for parents or for professionals under our general terms and with additional agreements as appropriate

4.8 In any of these roles, users will view entries that are their own or entered on a shared forum as part of a specific training experience.  Link or Lead Users will NOT have access to the private areas of others online accounts.   However all accounts can be viewed by our administrative team.


  1. Intellectual Property Rights

5.1 The content of I Matter Training and linked resources has been developed over many years of patient work.  Copyright © CBetoin. All rights are reserved. The online courses, its text, graphics, audio/video files and all media affixed with Cathy Betoin's name, belongs to Dr Cathy Betoin and is protected by law.  The I Matter Framework training resources are designed as a package to work together and therefore when you complete training the resources and posters are licensed to you only to support your own personal understanding.   The I Matter resources are not licensed to you to use professionally unless you reach the specified training or are working under direct supervision of an appropriately certified practitioner. 5.2  Most but not all of the concepts described in the I Matter Framework materials and training are already in the public domain and are based on third party ideas and concepts.. The I Matter Framework brings a unique way of presenting these ideas and as such I Matter Training and its licensed practitioners are the only parties licensed to train others in the I Matter Framework.   We warrant to you that appropriate acknowledgements have been included and that consents have been sought and that the delivery of this training and services to you does not infringe on any intellectual property claims by other providers.  Should you have any reason to question this, please contact us at the earliest possible date so that we can investigate and take appropriate actions.

5.2 Participants in the Core Programme or Extended Journey may print or download single copies for information from this site for personal non-commercial use only. In the early stages of informed practice training you may use the resources informally with your own immediate family and clients. This means you may show the posters to family and clients or those that you work with and you may discuss general principles but you must not represent yourself as a licensed I Matter trainee or certified practitioner unless and until you have formal confirmation of this status from us.  Licensed practitioners are only those listed on the directory. https://www.imattertraining.com/directory

5.3 Please do not copy our resources or reproduce our resources to distribute to others.  Please do not make copies with small changes without full consent and as part of working with us through appropriate roles.  We want to preserve the integrity of the learning journey and simply taking parts of it at this stage of our endeavours will be damaging to the impactful learning journey we want to offer. 

5.4 Permission to otherwise reprint, reproduce, redistribute or resell any content herein, in whole or in part, is prohibited unless prior written consent is obtained from the copyright holder. 5.5 You agree that during the term of your work with us and for 3 years after the date of the end of our work together that you will refrain from engaging in any commercial activity that is directly competitive with our business activity and scope of work.

5.5 We reserve our right to prosecute theft to the full extent of the law should this be required.

5.6 In sum, you or those you support as a licensee may not use this site or the materials available on or through this website or training in a manner that constitutes an infringement of our rights or that has not been authorized by us. You may not in any way use, copy, adapt or represent any of our material in any way as if it is yours or created by you. Nor should you use any of the resources in any unauthorized context without express permission, and then not without full credit and attribution.

5.7 Please understand that this work has been the fruit of many years careful research and we seek to preserve a specific learning experience for all of users, current and future.  

5.8 We acknowledge that in order to provide you with educational services you may need to disclose information deemed confidential and we endeavour at all times to treat this information with appropriate care.  


  1. Privacy Policy

6.1 All information entered on this site by users, or on other sites managed by I Matter Training Ltd and Relationship Health Matters CIC confidential to you.   By entering information on this or linked sites you give us permission to store it.  All users subscribe freely and with a clear consent process and may unsubscribe and delete content at any time, unless information provided was part of a contracted service including payment terms.   We do not sell or otherwise share your information with other parties other than for the delivery of the agreed services

6.2 You should be aware that our administration and support team can clearly see when you use this site, through the use of your IP address and via cookies.   These are bits of code on your computer used to help us offer you a positive user experience so that we can support your learning journey. Our administrative staff and network all work to these confidentiality expectations.  For more information on cookies please check Simplero Terms

6.3 Completed worksheets may be read as part of the delivery of our service to you but will usually not be read.  If you do not wish to use online recording you may download worksheets and workbooks.  However we will not be able to comment and advise on these. So if you want assistance or to work for one of our certificates you must record online. 

6.4 We therefore advise that when using the online training services, you always use screen names and write in a manner that does not disclose identifiable details.   Please read our safeguarding policy carefully

6.5 If you take part in a study support group or online forum this implies acceptance of our confidentiality guidelines  

6.6 Course discussion and Membership sessions are usually recorded so when taking part in recorded discussion, or using shared parts of the site you should not provide any identifying details and should focus on your own learning of the I Matter Framework not on specific details or circumstances.  

6.7 Participation in online group calls will sometimes be recorded for training purposes.  We take protection of your privacy seriously.  However your participation in group or 1:1 training implies acceptance that any recordings can be used for training purposes with no required further consent or remuneration due to you.

6.7 We may send marketing messages to you if you have agreed but you can always opt out

6.8 We may disclose personal information if required to do so by law or in the good-faith belief that it is necessary to (a) comply with legal process served on us, our partners, sponsors, investors, or affiliates; (b) protect and defend our rights or property or those of our customers; or (c) to protect the personal safety of our users or the public. Otherwise, we try our best to keep your information safe and secure.

6.9 To use the I Matter Training website or other sites you will be have a username (Simplero ID) and password. If you are also a client receiving consultation services, you may be able to register for a Client Portal. Keep that info confidential because you are responsible for all activities that occur under your password or account. Please tell us immediately of any unauthorized use of your password or account or any other breach of security. Help keep I Matter Training safe. You may also enable two-factor authentication for your Simplero ID, which increases security significantly.

6.10 I Matter Training deals with content that can be experienced as sensitive but we do not store sensitive information for you other than information that you chose voluntarily to enter or share with us. Remember I Matter Training is a training provider not a provider of medical treatment.  If in doubt, do not enter anything that you consider sensitive on the I Matter Training site.   Information of a more sensitive nature is stored and managed through the records in  pragmatic tracker (for assessment and recommendations) and in Power Diary if you are registered for clinical services.

6.11 We warrant that to protect your confidentiality we have entered into agreements with our employees and contractors to ensure their full understanding of these expectations.   We will not release your information to third parties without seeking consent unless required to do so by the law.

6.12 GDPR: We keep your data records until they're explicitly deleted, either because someone asked us to be forgotten, or because an I Matter Training account was closed. However you will need to have an active payment plan in place paid for by yourself or a member organisation.  If records are not paid for your account may ordinarily be deleted within 60 days.

6.13  They are stored in a database running behind several layers of security.

6.14  In the event that we discover a data breach, we will work carefully with you and with the online service providers to address the isssues.  

6.15  Press releases:  Any proposed release of information by us to the general public concerning individual services offered directly to you must first be approved by you.

6.16  We agree not to use your name for sales or promotional purposes without your written consent.  You agree not to use our name for sales or promotional purposes without our written consent.

  1. Acceptable Use

7.1 You must use this and other websites we use to provide services in a manner consistent with the law and in a manner that is courteous and respectful to other users and to our service provider team.  

7.2 You must never:
+ enrol another person without their express consent
+ upload any inappropriate material to our site out of line with our intention for it to be a safe learning space
+ use the site to cause annoyance inconvenience or anxiety to other users
+ share the content of your site with others without the specific appropriate licence
+ use the site if you are under 18 without the express involvement of parent or guardian
+ reproduce, duplicate, copy or resell any part of our website or the content therein because it belongs to us
+ upload material over which you do not open copyright

7.3 Should you not respect the above expectations in 7.2 we reserve the right to close your account without notice or explanation.


8.  Liability, Bookings and Cancellations and Billing

8.1  Nothing in these terms shall limit our liability for death or personal injury caused by our negligence or for our fraud or fraudulent misrepresentation or for any matter for which liability cannot be legally excluded or limited.

8.2 Unless paid for directly via the website, contracted services will be covered by an agreed service level agreement or written confirmation in an email or other correspondence between us..   

8.3 Users will be funded either by themselves or by a member organisation.  Full payment is expected upfront prior to the course start from individual participants or written confirmation is required from an organisational lead . The price applicable is that set at the date on which you place your order. Shipping costs and payment fees (if applicable) are recognized before confirming the purchase

8.4  When we offer you paid services we will send you or your funding body an invoice for agreed services.  Payments should be made within 15 days after receipt of invoice.  We will invoice you for services provided within 90 days after performance of the services.  

8.5   Where travel expenses apply to support our delivery of services to you these will be agreed in advance with you.

8.6 When courses are run under licence by a member organisation prices charged will be aligned with our pricing policy but local arrangements about contributions by individual users will apply.

8.7 Online Courses are deemed booked once we have received initial payment.  If you are a self-funding customer you will then have 14 days to trial the preparation content and may request a refund at any time during this period.   Once you progress to the Step 1 content or after 14 days have passed, no refunds are offered.  Refunds are not offered to business customers.

8.8 Taught Courses and consultations are deemed booked once written confirmation has been received of intent to proceed. Consultations can be rescheduled by contacting us in writing up to 48 hours in advance but full payment is due after this. Places on courses can be rescheduled by writing to us up to 14 days in advance but otherwise full payment is due.

8.9 All payments shall be made by bank transfer by the customer on receipt of invoice or through our payment gateway. All transfers conducted through I Matter Training Ltd are handled and transacted through third party dedicated gateways to guarantee your protection. Card information is not stored and all card information is handled over SSL encryption. Please read the terms & conditions for the payment gateway chosen for the transaction as they are responsible for the transactions made and ensure that your information is up to date.   If your payment information is not up to date you may lose access to your service.

8.10 Local Taxes:  Please note that local charges (sales tax, customs duty) may occur, depending on your region and local customs duties. These charges are at the customers own expense.

8.11 Access:  Access to your course is for a period specified at the start of your purchase.  You can retain access to your course only if you have a current appropriate payment plan in place.    We limit your access as we have observed that this increases the likelihood that you will commit to finishing the programme.   In the event that a product is offered to you with lifetime access, this means only as long as we as a company continue to provide this service.  In the event that we cease providing this service, you will have no rights to any refund in relation to loss of access to materials.

8.12 Return Policy: Self-funding customers are entitled to a refund within 30 days of your purchase of any printed material product or online tool or package of training purchased from this site provided that the item has not  been logged onto, opened or used by themselves nor anyone they have been supporting. Please note that any printed products must be returned unused, in original packaging including all tags. In case of refund neither the original shipping cost nor the return shipping cost will be repaid.  We do not offer refunds to business customers.

8.13 In the case of a subscription fee, we do not make refunds for unused periods should you or others wish to cancel before the end of an agreed term.  Existing subscriptions may be subject to an annual small rise in fee which will be announced if appropriate at least 1 term in advance.

8.14 If you believe that a group programme has not delivered on the results you have hoped and you have evidence that you have in good faith completed the recommended steps, you can also request a refund within this period. After this period we do not offer refunds unless we have been unable to deliver the agreed service..  You can find the return address under www.imattertraining.com/contact-us

8.15 Once a piece of work is agreed we may not sub-contract it to another party without your explicit written consent.


9. Disclaimer about Site Access/Facilities Use

9.1 I Matter Training works with Simplero.com and Pragmatic Tracker and partners to ensure that you have uninterrupted access to our services. However it may be suspended by us or by simplero from time to time to allow for updates. We will endeavour to keep this interruption as short as possible but will not reimburse any party for loss of access outside of our control.  Please see Simplero Terms

9.2  Any digital materials included in the Programme require the following hardware and software and other functional requirements in order to be fully used:  Windows 10 and broadband access. 

9.3  Some digital materials included in the programme are protected from being downloaded or require additional permissions.

9.4 Nothing in this Agreement shall limit or exclude our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or breach of the terms implied by section 2 of the Supply of Goods and Services Act 1982 (title and quiet possession) or any other liability which cannot be limited or excluded by applicable laws.

9.5 Subject to clause 9.2, we will not be liable to you, whether in contract, tort (including negligence), for breach of statutory duty, or otherwise, arising under or in connection with this Agreement for loss of profits, loss of sales or business, loss of agreements or contracts, loss of anticipated savings, loss of or damage to goodwill, loss of use or corruption of software, data or information, or any indirect or consequential loss.

9.6 You release us and our affiliates or licensees from any damages that you incur, and agree not to assert any claims against us or them, arising from your purchase or use of any products or services made available through this site.

9. 7Subject to clause 9.2, our total liability to you, whether in contract, tort (including negligence), for breach of statutory duty, or otherwise, arising under or in connection with this Agreement shall be limited to the Charges payable by you to us under this Agreement.

9.8  Force Majeure: We shall not be in breach of this agreement nor liable for any failure or delay in performance of any obligations under this and linked agreements with you arising from or attributable to acts, events, ommissions or accidents beyond our reasonable control    

9.9 You agree at all times to defend, indemnify and hold harmless us and our affiliates, successors, transferees, assignees and licensees and respective parent and subsidiary companies, agents, associates, officers, directors, shareholders and employees from and against any and all claims, causes of action, damages, liabilities, costs and expenses, including legal fees and expenses, arising out of or related to your breach of any obligation, warranty, representation or covenant related to I Matter Training in Simplero,

9.10  We agree to hold you harmless from any and all claims or losses arising out of our use or our agents use of your facilities or equipment in the delivery of services to you.  You agree to hold us harmless from  any and all claims or losses arising out of your use of our facilities or equipment in the delivery of services to you – unless clear and severe negligence can be proven.

9.11 It is your responsibility as a customer to have proper insurance coverage in the case of loss due to your use or non-use of I Matter Training in Simplero.

9.12 Termination policy and Cessation of Service: We will very rarely terminate an account.  But we do reserve the right to terminate an account at any time, with or without a reason or explanation. And even after your access has been terminated, you still are required to comply with all parts of these terms forever

9.13 We shall also endeavour to give you due warning of any potential cessation of services. However, in the event that we, in our absolute discretion decide to discontinue any part or whole or the courses or services of the I Matter Project, we shall not be liable to you in any way and no refunds of any kind shall be provided. 

9.14 If you are dissatisfied with I Matter Training on Simplero in any way, your principle remedy is to discontinue using the site.


  1. Membership Terms

10.1 Some of the services we offer for organisations and individuals are in the form of a membership based on a repeat subscription. Participation in any service in the form of a membership implies acceptance of our acceptable use guidelines, confidentiality agreements and intellectual property agreements.

  1. Consultation and Coaching Terms

11.1 Some of the services we offer for organisations and individuals are in the form of group based and 1:1 consultation and coaching services.    It is in the nature of consultation and coaching that a practitioner will never have full access to the all of the information pertaining to your circumstances.   You should always consult with others and never disregard other advice as a result of something offered here. 

11.2  You should let us know at the earliest possible date if there is an issue you are concerned about so that we can work together to address your concerns.

11.3 You agree that to see results from this learning process requires commitment over time.  It is at the times when situations are challenging that we encourage you to stick with the learning process.  We advise you to work towards a planned ending of use of our services to allow time for best learning to occur

11.4  You agree that when we provide consulting or coaching that we provide the services as an independent contractor.  Under no circumstances shall we or our representatives be considered an employee.   Nor shall our work together create any other partnership between us without additional formal written agreement signed by agreed representatives of both parties.

11.5 Your Obligations  You agree to: co-operate with us in all matters relating to the Services; and provide to us in a timely manner all documents, information, items and materials in any form requested by us or otherwise reasonably required by us in connection with the Services and ensure that they are accurate and complete in all material respects;

11.6 You agree to behave honestly, professionally, courteously and respectfully in all your dealings with us, our employees, our contractors, our clients, and any other third parties to whom you may be introduced or with whom you may interact in connection with the Services; and make your best endeavours to engage with the Services.

11.7 You are required to provide us with at least 24 hours’ notice in writing of any change or alteration to a scheduled appointment. Where you do not attend a scheduled appointment, or cancel the appointment with less than 24 hours’ notice in writing, that appointment will be forfeit, no re-scheduling will be permitted and no refund will be available to you for that appointment.

11.8 You are at all times responsible for your physical, mental and emotional health and wellbeing before, during and after the provision of the Services. If at any time you feel unwilling or unable to continue with the Services due to a risk to your physical, mental or emotional health, you agree to advise us immediately and seek appropriate professional assistance.

11.9 Refunds:  You may request a refund  by writing us at www.imattertraining.com/contact-us if after completing the online programme you believe it has not enabled you to meet its stated objectives. If we agree (acting reasonably) that the Programme has not enabled you to meet its stated objectives as a result of the Programme (rather than as a result of your action or inaction or your personal attributes) we may provide you with a full refund of the amount paid by you up to that date for the Programme.  We do not provide refunds for 1:1 or group coaching components.

  1. Compliments and Complaints and Dispute Resolution

12.1 This is a development project and as such we are all still learning and expect to have problems on the way.

12.2 If any provision or part-provision of this Agreement is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision under this clause shall not affect the validity and enforceability of the rest of this Agreement.

12.3 The parties agree that this agreement along with any applicable statement of work is the complete and exculsive statements of the agreement between the parties, superseding all proposals, oral or written and all other communicatins between us and you relating to the subject matter of this agreement.  Any modification to it must be agreed in writing by authorized representatives of both parties.

12.5 Dispute resolution: If a disagreement crops up, we both agree to use mediation first before any arbitration, litigation, or other procedure.  If we can't agree, any disputes specifically to do with thecontent and delivery of I Matter Training that are not to do with the site of Simplero will be resolved according to English law.
